Valuing a business in Darwin

Valuations backed by Darwin sales evidence

A valuation is only as defensible as the sales evidence behind it, and Darwin is a compact market with an outsized economy for its size. Defence, government, resources and energy drive demand for trade, transport and professional services, tourism brings visitors to the Top End through the dry season, and Palmerston and the rural area keep growing. In a smaller market there are fewer comparable sales, which makes knowing where to find the right evidence even more important.

A transport business in Winnellie, a franchise in Palmerston and a tourism operator in the city are not valued on the same multiple, and a business that depends on a few large contracts or a dry-season peak needs its earnings read carefully rather than averaged. Our valuers test your business against completed Territory and comparable regional sales in your industry, drawn from transactions our Darwin business brokers have handled, rather than a national rule of thumb.

Territory specifics matter too. Since 9 May 2023 the Northern Territory no longer charges stamp duty on non-land business assets such as goodwill, but duty still applies to land and to chattels transferred with it, so a sale that includes the premises needs those values set out properly.

Why Benchmark

Why Darwin owners come to us for a valuation

Anyone can put a number on a business. The question that matters is whether that number survives contact with someone who has a reason to dispute it: a buyer negotiating down, a bank assessing security, a former partner, or a court. What makes a valuation defensible is not the figure, it is the evidence and the qualification behind it.

Evidence, not opinion

Our valuations are built on actual completed sales, including multiples and capitalisation rates genuinely being paid in your industry and your market, rather than a general rule of thumb.

Industry specialists

We run specialist divisions covering salons, childcare, service stations, medical and dental, supermarkets, hospitality, transport and more. Your valuation is prepared by someone who already knows what drives value in your sector.

Qualified signatory

Reports are prepared and signed by a qualified valuer holding recognised credentials. That qualification is what allows the report to be relied on in legal and taxation matters.

Independent of the sale

A valuation is a separate engagement with its own scope and fee. We are not setting a number we then need to sell against, which is exactly the conflict a court or a lender will probe.

Know which one you need

Business appraisal or business valuation?

The two words get used interchangeably but they shouldn’t be. An appraisal estimates what a business might sell for today. A valuation interrogates the full trading history and stands up when someone has a reason to dispute the figure.

Not sure which one you need? Tell us what the report is for and we will tell you which one suits, what it will cost and how long it will take.

What do you need a price for?

Pick the closest match.

Will anyone else rely on the figure?

For example a bank, the Tax Office, a buyer, a business partner, a lawyer or a court.

When are you thinking of selling?

A rough idea is fine.

Our recommendation:

    Want the full side-by-side comparison?

See how an appraisal and a valuation differ in depth, cost, turnaround and who can rely on the figure.
    Our process

    How the valuation process works

Seven stages from first conversation to final report. A valuation takes 4 weeks from us receiving your information.

    Stage 01

You tell us what the valuation is for

The purpose changes the methodology, so we establish it first. A valuation for family law is not prepared the same way as one for a bank.

    Stage 02

We send a letter of engagement

Scope, methodology, the fixed fee, and what the report will and will not cover.

    Stage 03

You sign and we request your information

Financial statements, profit and loss, the lease, staff contracts, any franchise agreement, tax returns and an asset register. Half the fee is payable at this point.

    Stage 04

    We analyse the business

Trading history, margins and what moved them, wage and occupancy costs against industry benchmarks, the balance sheet, and one-off items adjusted out of the bottom line.

    Stage 05

    We research market evidence

Multiples, rates of return and capitalisation rates actually being paid in your industry, drawn from completed sales rather than asking prices.

    Stage 06

You receive a draft and we talk it through

You see the reasoning before anything is finalised, and can correct any factual matter we have misunderstood.

    Stage 07

    The final report is delivered

On payment of the balance. It includes an executive summary, purpose and scope, the valuer's credentials, market analysis, methodology, assumptions and limitations, and the assessed value.

    Your questions answered

    Darwin business valuation FAQs

The questions Darwin business owners ask us most before commissioning a valuation.

    Cost and timing

A certified business valuation in Darwin typically costs between $3,000 and $8,000 plus GST. Benchmark valuations start from $4,000 plus GST, and that includes valuations for family law and contested matters. The fee depends on the size and structure of the business, the quality of the financial records and the purpose of the report. Benchmark quotes a fixed fee before any work begins, so the cost is agreed up front rather than billed hourly.

A business valuation takes 4 weeks from when we receive your information. We give you an estimated completion date when you engage us and keep you updated if anything changes.

Half the fee is payable when you sign the letter of engagement, and the balance on delivery of the final report. You receive a draft to review and discuss before the report is finalised.

    Qualifications and standards

Only a qualified business valuer who has completed recognised courses and holds the appropriate qualifications. That qualification is a prerequisite for a valuation to be accepted by the courts. An appraisal, by contrast, can be prepared by any broker regardless of qualifications or experience.

Yes. Our valuers hold Registered Business Valuer status and are members of the Australian Institute of Business Brokers, and reports are prepared in accordance with APES 225 Valuation Services. Every report names its author and states their qualifications and the basis of their appointment.

A certified valuation prepared and signed by a qualified valuer is prepared to be relied on for legal and taxation purposes, including capital gains tax events, state transfer duty and family law settlements. For family law and contested matters, the valuation is prepared to the evidentiary standard the matter requires, with no separate report needed. Tell us the purpose at the outset, because it determines how the report is scoped.

    Method and evidence

An appraisal is an estimate of what a business is likely to sell for at a point in time, based on a rudimentary assessment of recent trading. A valuation is a far more thorough process that analyses the full trading history of the business, considers the balance sheet, and tests earnings and capitalisation rates against market evidence. A valuation is significantly more accurate, and only a qualified business valuer can prepare one.

A valuer assesses revenue and gross profit margins and the reasons behind any movement in them, compares wage and occupancy costs against industry benchmarks, checks legal and best-practice compliance, adjusts for extraordinary income and expenses, and reviews the balance sheet for stock, employee entitlements, working capital and obligations to creditors, the Tax Office and lenders. They then research market evidence, being the multiples, rates of return and capitalisation rates being paid, to apply to a valuation formula.

The more you provide, the more accurate the valuation. We generally need:

    • Financial statements and profit and loss statements
    • Accounting reports and tax returns
    • A copy of your lease
    • Staff details and contracts
    • Any franchise agreement
    • A list of tangible and intangible assets

Yes. The valuation reflects the current financial position of the business, the impact of recent performance and the potential for recovery. Where earnings are irregular or negative we may use discounted cash flow or asset-based approaches instead of an earnings multiple. The figure will reflect that position honestly, which is the point of an independent valuation.

Owner dependence, reliance on a small number of key staff, and customer concentration are all treated as risk factors. We assess the likely effect on future earnings if those people or clients were to leave, and that risk is factored into the capitalisation rate applied. A business that cannot operate without its owner is worth less, and the report will say so.

    When you need a valuation

Whenever the figure has to be relied on or defended by someone else. Common situations include:

    • A partner or shareholder exit
    • Capital gains tax and other ATO matters
    • State transfer duty
    • Finance or refinancing
    • Succession and estate planning
    • An SMSF or related-party transfer
    • A family law settlement
    • A shareholder or partnership dispute
    • A minority interest assessment

A valuation is scoped to its purpose, so tell us what it is for at the outset.

When you want early price guidance before deciding whether to sell, or a periodic check on what your business might be worth. An appraisal is an indicative guide only. It is not a certified report, so it should not be relied on for tax, legal or court purposes. For a quick indication, try our business appraisal calculator.

No. Family law settlements, shareholder and partnership disputes and minority interest assessments are all covered by our certified business valuation, from $4,000 plus GST. We prepare it to the evidentiary standard the matter requires and confer with your legal advisers where needed.

    Valuing a Darwin business

Our Darwin office is at 66 Smith St, Darwin City NT 0800, open Monday to Friday, 9:00am to 5:00pm. Call 1300 366 521. Our valuers can also meet you at your business.

We value businesses across Darwin, Palmerston, the Litchfield rural area and the wider Top End, as well as regional Northern Territory. Regional businesses are valued against regional evidence, because city multiples do not hold in smaller markets.

We compare your business with completed sales of similar businesses in Darwin and the Northern Territory, and with comparable regional sales where Territory evidence is thin, including the multiples and capitalisation rates buyers actually paid. That evidence comes from transactions our Darwin business brokers and our national network have handled. Asking prices are not used as evidence, because they are not what businesses sell for.

Yes. Many Darwin businesses depend on a handful of defence, government or resources contracts. We look at trading over several years, how much revenue relies on a few major clients, how long the current contracts run and how likely they are to be renewed, and factor that risk into the multiple, so the figure reflects what a buyer would actually pay.

Not on non-land business assets such as goodwill, which the Territory stopped charging duty on from 9 May 2023. Duty still applies to land, and to chattels transferred with it, so a purchase that includes the premises can still attract duty. Check the current position with the Territory Revenue Office before you sign.

    Other questions

Yes, and many owners do. Knowing what your business is worth highlights the areas that need improving, which makes a valuation a useful tool in the ongoing analysis of a business rather than something you only commission before a sale. Valuing with some regularity gives you a clearer picture of performance over time.

Yes. All valuations are strictly confidential. We only share your information with your consent, and all documents and discussions remain secure and private.

Yes. We have 8 offices across metropolitan and regional Australia. Regional businesses are valued against regional evidence, because applying metropolitan multiples to a regional business produces a figure that will not hold.
